Consultation Service Terms & Conditions
Official terms governing the consulting relationship between Danawangsa Capital and clients — Strategic Business & Financial Advisory.

1. Definitions & Service Position
Danawangsa Capital provides strategic business & financial consulting services, including analysis, strategy planning, recommendation development, and accompaniment in negotiations with third parties (banks, investors, legal partners, etc.).
Danawangsa Capital is a Strategic Business & Financial Consultant providing professional advisory and accompaniment services. Funding, credit, and investment decisions remain entirely the responsibility of the client and relevant third parties.
2. Scope of Consulting Services
- Discovery call and initial analysis to understand client needs.
- Development of financial strategy, funding structure, bridging strategy, restructuring, and asset optimization.
- Professional accompaniment in negotiations, documentation, and coordination with third parties.
- Delivery of reports, recommendations, and evaluations according to the scope of work in the Consultation Agreement.
- Services outside scope are only performed after written agreement (addendum or new proposal).
3. Free Initial Consultation
An initial consultation (±30 minutes) is offered at no charge and without contractual commitment. This session aims to understand your case and explain next steps. Information provided at this stage does not constitute final advice until a Consultation Agreement is signed.
4. Payment & Fee Structure
Consulting fee structure is tailored to project complexity and needs. Fees will be discussed further after the initial assessment, then explained in the proposal and official Consultation Agreement before work begins.
- Assessment Phase: initial fee for needs analysis and project scope.
- Advisory Phase: flexible payment scheme aligned with consulting work stages.
- Closing Phase: final fee component based on deliverables and project complexity.
- Consulting fees are separate from third-party costs (notary, appraisal, legal, etc.).
5. Client Obligations
- Provide accurate, complete, and timely information and documents.
- Attend scheduled consultation sessions or notify schedule changes at least 24 hours in advance.
- Make payments according to the schedule agreed in the Consultation Agreement.
- Do not use Danawangsa Capital's name, materials, or recommendations for unlawful purposes.
6. Limitation of Liability
Our services are advisory and professional accompaniment in nature. Final decisions on funding, credit, investment, or business transactions are entirely the responsibility of the client and relevant third parties (e.g., banks).
- We do not guarantee fund disbursement, credit approval, or specific outcomes from third parties.
- We are not liable for losses arising from client business decisions outside recommendations agreed within the scope of work.
- Our liability is limited to the consulting fee paid for the relevant project, unless otherwise stipulated in a written agreement.
- Force majeure: we are excused from delay or failure caused by events beyond reasonable control (natural disasters, system disruptions, sudden regulations, etc.).
7. Intellectual Property
- Danawangsa Capital's proprietary methodology materials, templates, frameworks, and content remain our property.
- Reports, analyses, and deliverables provided to clients grant an internal use license for the client's business purposes — not for redistribution, publication, or commercialization without written permission.
- Clients may not copy, modify, or distribute consulting materials to third parties without written consent from Danawangsa Capital.
8. Confidentiality & NDA
Both parties must maintain confidentiality of sensitive information exchanged during the consulting period. Confidentiality obligations remain in effect after the agreement ends, in accordance with the NDA or confidentiality clause in the Consultation Agreement.
9. Termination of Services
- Either party may terminate the agreement according to the terms in the Consultation Agreement with written notice.
- Consulting fees already paid for work performed follow the terms in the Consultation Agreement.
- Incomplete work will be stopped according to the last achieved milestone, unless otherwise agreed in writing.
10. Governing Law
These Terms & Conditions are governed by the laws of the Republic of Indonesia. Disputes that cannot be resolved amicably will be settled through mechanisms agreed in the Consultation Agreement, with preference for mediation before litigation.
